Terms of Service

1. Acceptance of Terms

By accessing or using the Stratium platform ("Service"), operated by Stratium ("Company," "we," "us," or "our"), including our website at stratiumsol.com, our Telegram bot @stratiumsol_bot, and our web dashboard, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. We will notify users of material changes via Telegram or the dashboard.

2. Description of the Service

Stratium is an automated copy trading platform built on the Solana blockchain. The Service monitors curated wallet strategies and automatically replicates their trades on behalf of subscribed users. Key features include:

• Automated trade execution with sub-second latency
• Non-custodial wallet architecture — you retain full control of your funds
• Real-time portfolio tracking, P&L analytics, and trade history
• Multiple subscription tiers with varying strategy allocations
• Telegram bot interface and web dashboard for account management

The Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted access, specific trade execution speeds, or any particular financial outcome.

3. Eligibility

By using the Service, you represent and warrant that:

• You are at least 18 years of age (or the age of majority in your jurisdiction)
• You have the legal capacity to enter into these Terms
• Your use of the Service does not violate any applicable law or regulation in your jurisdiction
• You are not located in, under the control of, or a national or resident of any country subject to international sanctions or embargoes

We reserve the right to refuse service to anyone, for any reason, at any time.

4. Account Registration and Security

To use the Service, you must create an account via our Telegram bot, Google OAuth, email magic link, or Solana wallet authentication. Upon registration, a non-custodial Solana wallet is generated for you. Your private key is encrypted using AES-256 encryption and stored securely.

You are solely responsible for:

• Maintaining the security of your Telegram account, email, or wallet used for authentication
• All activities that occur under your account
• Promptly notifying us of any unauthorized access

We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. Non-Custodial Wallet & Fund Management

Stratium operates a non-custodial model. Your funds remain in a Solana wallet that only you control. We never have direct access to your private keys in unencrypted form during normal operations. All trade execution is performed programmatically via signed transactions on the Solana blockchain.

You are responsible for funding your wallet with sufficient SOL or USDC to execute trades. Insufficient funds may result in missed trade opportunities. You may withdraw your funds at any time without restriction from Stratium (standard Solana network fees apply).

6. Subscription Tiers and Fees

The Service offers multiple subscription tiers, each with different feature sets, strategy allocations, and scaling factors. Current tiers and pricing are displayed on our website and within the dashboard.

Fees:

• Commission: A 0.1% fee is charged on each trade executed through the Service
• Subscription Fees: Paid tiers (Pro, VIP) are billed monthly at the rates displayed at the time of subscription
• Network Fees: Standard Solana transaction fees (approximately $0.001 per transaction) are passed through to you
• Withdrawals: No withdrawal fees are charged by Stratium; standard network fees apply

We reserve the right to modify pricing with 30 days' advance notice. Price changes will not affect active billing periods.

7. Trading Risks and Disclaimers

By using the Service, you acknowledge and accept the following risks:

• Market Risk: Cryptocurrency markets are highly volatile. Token prices can decrease rapidly, and you may lose your entire investment.
• Copy Trading Risk: Strategies replicated by the Service reflect the actions of third-party wallets. There is no guarantee that these strategies will be profitable.
• Execution Risk: Network congestion, blockchain delays, or technical issues may result in trade execution at prices different from expected (slippage).
• Liquidity Risk: Some tokens may have limited liquidity, making it difficult to execute trades at favorable prices or to exit positions.
• Smart Contract Risk: Interactions with decentralized protocols carry inherent smart contract risks including bugs, exploits, or unexpected behavior.
• Regulatory Risk: The regulatory landscape for cryptocurrency is evolving. Changes in regulation may affect the availability or legality of the Service in your jurisdiction.

Stratium is not a financial advisor. Nothing in the Service constitutes financial, investment, legal, or tax advice. You should consult with qualified professionals before making investment decisions.

8. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated systems (bots, scrapers, etc.) to interact with the Service beyond the intended interfaces
• Manipulate or attempt to manipulate markets using the Service
• Use the Service to launder money or facilitate any illegal financial activity
• Interfere with or disrupt the integrity or performance of the Service
• Create multiple accounts to circumvent tier limitations or abuse promotions

Violation of these terms may result in immediate account suspension or termination.

9. Intellectual Property

All content, features, functionality, software, and trademarks associated with the Service are owned by or licensed to Stratium. This includes but is not limited to: the Stratium name, logo, website design, dashboard interface, trading algorithms, and strategy curation methods.

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Stratium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses
• Our total aggregate liability arising from or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
• We are not responsible for losses resulting from: market movements, failed or delayed trade execution, blockchain network issues, third-party service failures, or unauthorized access to your account

11. Indemnification

You agree to indemnify, defend, and hold harmless Stratium, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights

12. Account Termination

You may delete your account at any time via the /unregister command in the Telegram bot or through the Account Settings page in the dashboard.

Upon account deletion:

• All active copy trading will cease immediately
• Your encrypted private key data will be permanently deleted from our systems
• Remaining funds in your wallet are accessible using your wallet's seed phrase or private key (if exported)
• Trade history and analytics data will be retained for 90 days for compliance purposes, then permanently deleted

We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice.

13. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We perform regular maintenance and updates to improve the Service. During maintenance windows, trade execution may be temporarily paused. We will endeavor to provide advance notice of planned maintenance via Telegram or the dashboard.

14. Third-Party Services

The Service integrates with third-party platforms and protocols, including but not limited to:

• Solana blockchain network
• Jupiter aggregation protocol for trade routing
• Telegram messaging platform
• Jito for transaction bundling and priority execution

We are not responsible for the availability, performance, or security of these third-party services. Your use of such services is subject to their respective terms and conditions.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body. The arbitration shall be conducted in English.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Stratium regarding the Service, and supersede all prior agreements, understandings, and communications, whether written or oral.
